  2. Worldwide Direct Sales, Inc., referred to as EMPLOYER, and Thomas
  3. Holt, referred to as EMPLOYEE, agree:
  4.  
  5. EMPLOYEE is engaged to act as Sales Staff Manager for Worldwide
  6. Direct Sales, Inc. beginning on June 1, 1994.
  7.  
  8. As to those items not specified herein, the relationship between
  9. the parties shall be governed by the general employment manual,
  10. dated January 1, 1990, and any additions and replacements thereto.
  11.  
  12. As compensation for EMPLOYEE's services herein, EMPLOYEE shall
  13. receive a commission of 40 per cent of gross sales produced by
  14. EMPLOYEE. Said commission shall only be paid upon fully collected
  15. sales. Should EMPLOYER determine, in its sole discretion, to allow
  16. commissions on sales on credit or other than fully collected
  17. sales, EMPLOYEE shall be liable to repay any sums advanced on
  18. sales not collected.
  19.  
  20. A draw account for EMPLOYEE shall be established, and EMPLOYER
  21. shall set off against any draws received commissions earned by the
  22. EMPLOYEE.
  23.  
  24. EMPLOYER may during the course of EMPLOYEES service reveal certain
  25. confidential/trade secret or proprietary information to EMPLOYEE.
  26. The items which are confidential/trade secret or proprietary
  27. information shall be identified as confidential. Without specific
  28.  
  29. EMPLOYEE shall for a period of 6 months after termination not
  30. accept employment with the following firms:
  31. all direct competitors

  35. EMPLOYEE agrees that the duties herein shall be full time.
  36. EMPLOYEE shall not engage in other business ventures or employment
  37. without the prior approval of EMPLOYER.
  38.  
  39. EMPLOYEE agrees to promptly disclose to EMPLOYER any inventions or
  40. processes discovered by the EMPLOYEE which are made at the behest
  41. or in connection with the duties of employee, or which are
  42. reasonably related to the business of EMPLOYER during the term of
  43. employment, and shall assign all rights in said inventions or
  44. processes to EMPLOYER.

  46. EMPLOYEE shall execute any documents reasonably requested by
  47. EMPLOYER for patents or other legal steps which EMPLOYER may
  48. desire to prefect its rights in the inventions.
  49.  
  50. EMPLOYER may terminate this agreement upon 30 days notice to
  51. the EMPLOYEE. Upon termination, EMPLOYEE shall return all
  52. materials from EMPLOYER to the EMPLOYER.
  53.  
  54. Any disputes under this agreement, including those relating to
  55. non-competition shall be submitted to arbitration with a single
  56.                            
  57. arbitrator under the rules of the American Arbitration
  58. Association. Any ruling made by the arbitrators shall be final and
  59. may be entered as a judgment in any court of competent
  60. jurisdiction.
